2. User Conduct and Behaviour Standards

  • 2.1 You must conduct yourself professionally and respectfully when interacting with our staff, other users, property owners, and any third parties through our platform.
  • 2.2 Harassment, discrimination, threats, or abusive behaviour towards any individual connected to our services is strictly prohibited and may result in immediate account termination and legal action.
  • 2.3 You must not impersonate any person or entity, misrepresent your identity, or provide false information about your circumstances, requirements, or qualifications.
  • 2.4 You agree to use our services in good faith and not to waste time or resources of our team or third parties through frivolous enquiries or malicious activity.

3. Information Accuracy and Verification

  • 3.1 You warrant that all information provided through our platform, including personal details, financial circumstances, employment status, and property requirements, is accurate, complete, and current.
  • 3.2 You must promptly update any information that becomes inaccurate or outdated and notify us of any material changes to your circumstances that may affect our service delivery.

  • 3.4 Providing false or misleading information constitutes a material breach of these terms and may result in immediate service termination and potential legal consequences.

4. Financial Responsibilities and Payment Obligations

  • 4.1 You are responsible for all fees and charges associated with our services as outlined in our service agreements and fee schedules, payable according to the terms specified.
  • 4.2 Payment obligations arise upon successful property placement or as otherwise specified in our service agreements, regardless of subsequent tenancy outcomes or personal circumstances.
  • 4.3 You must maintain adequate financial resources to meet your rental obligations and service fees, and you warrant that you have the legal capacity to enter into financial commitments.
  • 4.4 Late payment of fees may result in service suspension, additional charges, and potential legal action for debt recovery, including court costs and legal fees.

Liability Disclaimers and Warranty Limitations

5. Disclaimer of Warranties

  • 5.1 Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • 5.2 We do not warrant that our services will be uninterrupted, error-free, or completely secure, or that all information provided through our platform will be accurate, complete, or up-to-date.
  • 5.3 Transport data, journey times, and connectivity information are based on third-party sources and historical data, and we cannot guarantee accuracy or account for future changes to transport services.
  • 5.4 Property availability, pricing, and condition information is provided by third parties and may be subject to change without notice. We do not warrant the accuracy of property-related information.

6. Limitation of Liability

  • 6.1 To the maximum extent permitted by law, our total liability for any claims arising from or related to our services shall not exceed the amount of fees paid by you to us in the twelve months preceding the claim.
  • 6.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the theory of liability.
  • 6.3 We are not responsible for losses arising from property rental decisions, transport disruptions, changes in transport services, or any actions or omissions of property owners, agents, or transport authorities.
  • 6.4 Our liability limitations apply regardless of whether we have been advised of the possibility of such damages and even if limited remedies fail of their essential purpose.

7. User Indemnification Obligations

  • 7.1 You agree to indemnify, defend, and hold harmless B N W REAL ESTATE UK, its officers, directors, employees, and agents from any claims, demands, losses, damages, or expenses arising from your use of our services or violation of these terms.
  • 7.2 Your indemnification obligations include legal fees, court costs, and settlement amounts incurred in defending against claims related to your conduct or breach of these terms.
  • 7.3 We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense efforts.
  • 7.4 This indemnification obligation survives termination of your account or these terms and applies to claims arising from your past use of our services.

8. Force Majeure Provisions

  • 8.1 We shall not be liable for any failure or delay in performance of our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, labour disputes, or technical failures.
  • 8.2 Force majeure events include but are not limited to transport strikes, system outages, pandemic restrictions, regulatory changes, and acts of terrorism or war.
  • 8.3 During force majeure events, we will make reasonable efforts to continue providing services and will communicate any significant disruptions to affected users.
  • 8.4 If force majeure events continue for more than 60 days, either party may terminate affected service agreements without penalty upon written notice.

9. Governing Law and Jurisdiction

  • 9.1 These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
  • 9.2 Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
